1. Overview
This Admin & Role Liability Protection Clause ("Clause") defines the responsibilities and liabilities associated with the different user roles within the ShadeCalc platform (the "Service") and establishes that ShadeCalc bears no responsibility for the internal management, disputes, or actions of users within a company account. This Clause is incorporated into and forms part of the ShadeCalc Terms of Service.
2. Role Definitions and Hierarchy

The specific permissions associated with each role may be modified by ShadeCalc from time to time as the Service evolves.
3. Account Owner (Super Admin) Responsibilities
The Account Owner is the individual or Entity that creates the primary company account and is the sole party responsible for the management, oversight, and administration of all users within that account.
The Account Owner is responsible for: inviting, adding, and removing users from the company account; assigning appropriate roles to each team member; ensuring that all users comply with the Terms of Service and all applicable policies; managing billing, subscription, and payment information; maintaining the security of the account, including ensuring that former employees or contractors are promptly removed; overseeing the accuracy of quotes, calculations, and PDFs generated by all users; and resolving any internal disputes between team members.
The Account Owner assumes full responsibility for all activity that occurs under the company account, regardless of which user performed the activity.
4. Manager Responsibilities
Managers operate under the authority and supervision of the Account Owner. The Manager role provides elevated access to view all company quotes and team activity, but does not include account administration privileges unless specifically delegated by the Account Owner.
Managers are responsible for using the Service in accordance with the Terms of Service, verifying the accuracy of their own calculations and quotes, reporting any concerns or security issues to the Account Owner, and maintaining the confidentiality of their login credentials.
Managers act as agents of the Account Owner. The Account Owner is responsible for the actions and conduct of all Managers within the account.
5. Sales Representative Responsibilities
Sales Representatives operate under the authority and supervision of the Account Owner and, where applicable, Managers. The Sales Representative role provides standard access to the calculator and quoting features, limited to the user's own quotes and data.
Sales Representatives are responsible for using the Service in accordance with the Terms of Service, verifying the accuracy of their own calculations and quotes, reporting any concerns or security issues to the Account Owner or a Manager, and maintaining the confidentiality of their login credentials.
Sales Representatives act as agents of the Account Owner. The Account Owner is responsible for the actions and conduct of all Sales Representatives within the account.
6. ShadeCalc's Limited Role
ShadeCalc provides the software platform only. ShadeCalc does not participate in, oversee, manage, or control the internal operations, business decisions, or team dynamics of any company using the Service.
ShadeCalc has no obligation to: monitor or supervise the activities of individual users within a company account; verify the accuracy of data entered by any user; mediate or resolve disputes between users; enforce internal company policies or employment agreements; advise on the appropriate assignment of roles or permissions; or ensure that the Account Owner has properly managed user access or removed former employees.
ShadeCalc is a neutral technology provider and does not act as an employer, agent, advisor, or fiduciary of any User or Entity.
7. Internal Disputes
SHADECALC IS NOT RESPONSIBLE FOR AND SHALL HAVE NO LIABILITY IN CONNECTION WITH ANY DISPUTES BETWEEN USERS WITHIN A COMPANY ACCOUNT. This includes, without limitation, disputes between Account Owners and Managers, Account Owners and Sales Representatives, Managers and Sales Representatives, or any combination of users within the same account.
Such disputes may include disagreements over quote accuracy, pricing decisions, commission calculations, customer assignments, data access, role assignments, or any other matter arising from the use of the Service.
The Account Owner is solely responsible for resolving all internal disputes. ShadeCalc will not intervene in, mediate, or adjudicate any such disputes.
You agree to indemnify and hold harmless ShadeCalc from and against any claims, damages, losses, or expenses arising from internal disputes between users within your company account.
8. Data Access and Visibility
The Service's role-based permission system controls data visibility as follows:
Super Admins can view all quotes, calculations, and data generated by all users within the company account. Managers can view all quotes and calculations generated by all users within the company account. Sales Representatives can view only their own quotes and calculations.
The Account Owner is responsible for understanding and communicating these data visibility rules to all team members.
ShadeCalc is not responsible for any consequences arising from a user's access to data within the scope of their assigned role permissions. If the Account Owner assigns a role that provides broader access than intended, the resulting data exposure is the sole responsibility of the Account Owner.
9. Liability Allocation
The Account Owner bears full and exclusive liability for:
- All activity conducted by any user within the company account;
- The accuracy and appropriateness of all quotes, calculations, and PDFs generated by any user within the account;
- The proper assignment and management of user roles and permissions;
- The timely removal of users who are no longer authorized to access the account;
- All internal disputes between team members;
- Compliance with applicable employment laws, data protection regulations, and internal company policies.
ShadeCalc expressly disclaims all liability for: actions taken by any user within a company account; errors, omissions, or inaccuracies in data entered or quotes generated by any user; business decisions made by any user in reliance on the Service; disputes between users within a company account; unauthorized access resulting from the Account Owner's failure to manage user permissions; and any damages, losses, or claims arising from the foregoing.
