1. Introduction

This Privacy Policy describes how ShadeCalc LLC, doing business as ShadeCalc ("ShadeCalc," "we," "us," or "our"), collects, uses, discloses, and protects information about you when you access or use the ShadeCalc platform, website, and related services (collectively, the "Service"). This Privacy Policy applies to all Users of the Service, including Account Owners, Managers, and Sales Representatives.

By accessing or using the Service, you acknowledge that you have read and understood this Privacy Policy and consent to the collection, use, and disclosure of your information as described herein. If you do not agree with this Privacy Policy, you must not access or use the Service.

2. Information We Collect

Account Information

When you create an account, we collect personal information necessary to establish and maintain your account, including your full name, email address, company name, phone number (if provided), job title or role, and password credentials.

Billing and Payment Information

When you subscribe to the Service, we collect billing information necessary to process your payment, including your payment method details (credit card number, expiration date, billing address). Payment processing is handled by our third-party payment processor, Stripe, Inc. ShadeCalc does not directly store your full credit card number on our servers.

Usage Data

We automatically collect information about how you interact with the Service, including the features you use, the pages you visit, the actions you take, the date and time of your visits, session duration, browser type and version, operating system, device type, IP address, and referring URLs.

Business Data and Content

We collect and store the data you enter into the Service in the course of using its features, including shade and product specifications, vendor pricing, cost calculations, margin settings, customer information entered into quotes, job details and notes, generated PDFs (both internal and customer-facing), saved quotes and quote history, and uploaded vendor PDF documents.

Communications

We collect information from communications you send to us, including support requests, feedback, and correspondence via email or in-app messaging.

3. How We Use Your Information

We use the information we collect for the following purposes: providing, operating, maintaining, and improving the Service; processing your subscription and payment transactions; managing your account and providing customer support; sending you transactional communications, including billing confirmations, account notifications, and service updates; enforcing our Terms of Service and other policies; detecting, preventing, and addressing fraud, security issues, and technical problems; complying with legal obligations and responding to lawful requests from governmental authorities; analyzing usage patterns to improve the Service and develop new features; and communicating with you about changes to the Service, our policies, or other matters related to your account.

We do not use your information to make automated decisions that produce legal or similarly significant effects concerning you.

4. How We Share Your Information

We do not sell your personal information to third parties.

We may share your information with third-party service providers who perform services on our behalf, such as payment processing, data hosting, analytics, and customer support. These service providers are contractually obligated to use your information only for the purposes of providing services to ShadeCalc.

If you are part of a multi-user account, certain information (such as quotes, calculations, and user activity) may be visible to other users within your organization based on their assigned role permissions (Super Admin, Manager, or Sales Representative).

We may disclose your information if required to do so by law, regulation, legal process, or governmental request, or if we believe in good faith that such disclosure is necessary to protect the rights, property, or safety of ShadeCalc, our Users, or the public.

In the event of a merger, acquisition, reorganization, bankruptcy, or sale of all or a portion of our assets, your information may be transferred as part of such transaction.

Each third-party service provider maintains its own privacy policy governing its collection and use of data. ShadeCalc is not responsible for the privacy practices of third-party service providers.

6. Data Storage and Security

Your information is stored on secure servers located in the United States. We implement industry-standard administrative, technical, and physical security measures designed to protect your information from unauthorized access, disclosure, alteration, and destruction.

Security measures include, but are not limited to, encryption of data in transit using TLS/SSL protocols, encryption of sensitive data at rest, access controls and authentication mechanisms, regular security assessments, and secure software development practices.

NOTWITHSTANDING THE FOREGOING, NO METHOD OF TRANSMISSION OVER THE INTERNET OR METHOD OF ELECTRONIC STORAGE IS 100% SECURE. WHILE WE STRIVE TO PROTECT YOUR INFORMATION, WE CANNOT GUARANTEE ITS ABSOLUTE SECURITY. YOU ACKNOWLEDGE AND ACCEPT THAT ANY TRANSMISSION OF INFORMATION TO SHADECALC IS AT YOUR OWN RISK.

In the event of a data breach that affects your personal information, we will notify you and any applicable regulatory authorities in accordance with applicable law.

7. Data Retention

We retain your personal information for as long as your account is active or as needed to provide you with the Service.

Upon cancellation or termination of your account, we may retain your information for a reasonable period as necessary to comply with our legal obligations, resolve disputes, enforce our agreements, and for legitimate business purposes such as maintaining backups and archives.

We will delete or anonymize your personal information within ninety (90) days of receiving a verified deletion request, subject to any legal obligations that require us to retain certain information.

Aggregated or anonymized data that cannot reasonably be used to identify you may be retained indefinitely for analytical and business purposes.

8. Your Rights and Choices

Correction. You may update or correct your account information at any time through your account settings or by contacting us.

Deletion. You may request deletion of your personal information by contacting us at [email protected]. Please note that we may be required to retain certain information for legal, regulatory, or legitimate business purposes.

Data Portability. You may request a copy of your personal information in a structured, commonly used, and machine-readable format.

Opt-Out of Communications. You may opt out of receiving promotional communications from us by following the unsubscribe instructions in such communications. Please note that you may not opt out of transactional communications related to your account or the Service.

9. California Consumer Privacy Act (CCPA) Disclosure

This section applies to residents of the State of California and supplements the information provided elsewhere in this Privacy Policy.

In the preceding twelve (12) months, we have collected the following categories of personal information as defined by the CCPA: identifiers (name, email address, IP address, account name); commercial information (subscription records, payment history); internet or other electronic network activity information (browsing history within the Service, usage data, interactions with the Service); and professional or employment-related information (company name, job title).

We do not sell personal information as defined by the CCPA. We have not sold personal information in the preceding twelve (12) months.

Right to Know. You have the right to request that we disclose the categories and specific pieces of personal information we have collected about you.

Right to Delete. You have the right to request that we delete the personal information we have collected from you, subject to certain exceptions.

Right to Opt-Out of Sale. As stated above, we do not sell personal information.

Right to Non-Discrimination. We will not discriminate against you for exercising any of your CCPA rights.

10. Children's Privacy

The Service is not intended for use by individuals under the age of eighteen (18). We do not knowingly collect personal information from children under 18. If we become aware that we have collected personal information from a child under 18, we will take steps to delete such information promptly. 11. Cookies and Tracking Technologies

We use cookies and similar tracking technologies to collect and store information about your interactions with the Service. Cookies are small text files placed on your device by a web server.

Essential Cookies. These cookies are necessary for the Service to function properly. They enable core functionality such as authentication, session management, and security. These cookies cannot be disabled.

Analytics Cookies. These cookies help us understand how Users interact with the Service by collecting usage data in an aggregated and anonymized form.

Preference Cookies. These cookies remember your settings and preferences (such as theme selection) to provide a more personalized experience.

You may control cookies through your browser settings. However, disabling certain cookies may impair the functionality of the Service.

12. Do Not Track Signals

Some web browsers transmit "Do Not Track" (DNT) signals. Because there is no common industry standard for interpreting DNT signals, the Service does not currently respond to DNT signals. We will update this Privacy Policy if and when a standard for responding to DNT signals is established.

13. Changes to This Privacy Policy

We may update this Privacy Policy from time to time to reflect changes in our practices, technologies, legal requirements, or other factors. We will post the updated Privacy Policy on the ShadeCalc website and update the "Last Updated" date. We will make reasonable efforts to notify you of material changes via email or in-app notification. Your continued use of the Service after the posting of changes constitutes your acceptance of such changes.
