Subscription & Refund Policy

1. Overview

This Subscription and Refund Policy ("Policy") governs the subscription terms, billing practices, refund procedures, and cancellation process for the ShadeCalc platform (the "Service"). This Policy is incorporated into and forms part of the ShadeCalc Terms of Service. By subscribing to the Service, you agree to the terms set forth in this Policy.

2. Free Trial Terms

ShadeCalc offers a fourteen (14) day free trial to new users, allowing full access to the Service's features during the trial period.

At the end of the fourteen (14) day free trial period, your account will automatically convert to a paid subscription unless you cancel before the trial expires. If a payment method is on file, you will be charged the applicable subscription fee upon conversion. If no payment method is on file, your access to the Service will be suspended until a valid payment method is provided.

Free trial eligibility is limited to one (1) trial per individual or Entity. Attempts to obtain multiple free trials through the creation of multiple accounts, use of different email addresses, or other means constitute a violation of the Terms of Service and may result in account termination.

ShadeCalc reserves the right to modify, limit, or discontinue the free trial offer at any time without prior notice.

3. Subscription Plans and Pricing

The Service is offered on a monthly subscription basis at a rate of $49.00 per month (USD). This base subscription includes access to all Service features for up to three (3) users per company account. Additional users may be added at a rate of $10.00 per user per month.

Subscription pricing is subject to change. ShadeCalc will provide at least thirty (30) days' prior notice of any pricing changes. Updated pricing will take effect at the start of the next billing cycle following the notice period.

All prices are quoted in United States Dollars (USD) and are exclusive of applicable taxes, which are the responsibility of the User.

4. Automatic Billing and Renewal

YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW AT THE END OF EACH MONTHLY BILLING CYCLE. By subscribing, you authorize ShadeCalc and its payment processor, Stripe, Inc., to charge your designated payment method on a recurring monthly basis without requiring your prior approval for each charge.

Billing occurs on the same date each month as your initial subscription date (or the nearest available date if the billing date does not exist in a given month).

You are responsible for ensuring that your payment method on file is current, valid, and has sufficient funds to cover the subscription fee. You may update your payment method at any time through your account settings.

5. Refund Policy

ALL SUBSCRIPTION FEES ARE NON-REFUNDABLE ONCE A BILLING PERIOD HAS BEGUN. This includes, without limitation:

  • Monthly subscription fees charged at the beginning of each billing cycle;
  • Fees charged upon automatic conversion from a free trial to a paid subscription;
  • Fees for any partial billing period remaining after cancellation.

No prorated refunds will be issued for cancellations made during an active billing period. Upon cancellation, you will retain access to the Service through the end of your current paid billing period.

ShadeCalc may, in its sole and absolute discretion, issue refunds or credits on a case-by-case basis. Any such refund or credit shall not constitute a waiver of ShadeCalc's right to enforce this no-refund policy in the future.

If you believe you have been charged in error, you must contact ShadeCalc at [email protected] within fourteen (14) days of the charge.

6. Cancellation

You may cancel your subscription at any time through your account settings within the Service or by contacting ShadeCalc at [email protected].

Cancellation will take effect at the end of your current billing period. You will continue to have access to the Service until the end of the period for which you have already paid.

Upon cancellation, your account will be downgraded to an inactive state. You will no longer be able to access the calculator, generate new quotes, or create new PDFs. However, you may still be able to log in to view previously saved data for a limited period, subject to ShadeCalc's data retention policies.

7. Failed Payments

If a scheduled payment fails due to an expired, declined, or otherwise invalid payment method, ShadeCalc will attempt to process the payment up to three (3) additional times over a period of up to ten (10) days.

ShadeCalc will notify you via email of any failed payment and request that you update your payment method.

If payment is not successfully processed after all retry attempts, your account will be suspended. During suspension, you will not be able to access the Service's features.

Your account will remain in a suspended state for up to thirty (30) days, during which time you may reactivate your account by providing a valid payment method and paying any outstanding balance.

If your account remains suspended for more than thirty (30) days, ShadeCalc reserves the right to permanently deactivate your account and delete your data in accordance with our data retention policies.

8. Account Deactivation

ShadeCalc reserves the right to deactivate any account that has been inactive (no login activity) for a period of twelve (12) consecutive months or longer.

Prior to deactivation, ShadeCalc will make reasonable efforts to notify you via the email address associated with your account.

Upon deactivation, your account data, including saved quotes, calculations, PDFs, and other Content, may be permanently deleted. ShadeCalc shall have no liability for the loss of data following account deactivation.

9. Price Changes

ShadeCalc reserves the right to change subscription pricing at any time. Any price increase will be communicated to you at least thirty (30) days before it takes effect.

Price changes will apply at the start of the next billing cycle following the effective date of the change.

If you do not agree with a price change, you may cancel your subscription before the new pricing takes effect. Your continued use of the Service after the price change constitutes your acceptance of the new pricing.
